The Board has appointed an audit committee and a compensation committee among the members of the Board of Directors. The members of the Compensation Committee are Gudmundur Einarsson (chair) and Per Ove Nerland.

The mandate of the compensation committee is related to compensation paid to the members of the executive management. The duties of the compensation committee of Tandberg Data include the following:

• Preparation of all matters related to grant of share options and to compensation paid to the members of the executive management, and preparation of matters related to proposal for board remuneration.
